Terms of Service

Effective: January 1, 2026

This document is a working template provided for transparency. Clinics and customers should review final legal terms with their own counsel before signing. Contact legal@cliniloom.com for the executable version of this agreement.

01Agreement to terms

By accessing or using CliniLoom, you agree to these Terms. If you are using CliniLoom on behalf of a clinic or organization, you represent that you have authority to bind that organization to these Terms.

02The service

CliniLoom is software that helps clinic staff prepare administrative work — intake summaries, message triage, prior authorization packets, follow-ups, draft notes, and coding documentation review. CliniLoom does not provide medical advice, make diagnoses, or take clinical actions on its own.

03Customer responsibilities

  • Maintain the security of accounts and credentials.
  • Configure approval rules appropriate to your clinic.
  • Have a qualified clinical reviewer approve any AI output before it reaches a patient, payer, or chart.
  • Ensure use complies with applicable laws, including HIPAA where relevant.

04Acceptable use

You agree not to misuse CliniLoom: no unauthorized access, no attempts to bypass approval controls, no use that violates law or third-party rights, and no use to make autonomous clinical decisions.

05Fees

Fees and billing terms are described on our Pricing page or in your order form. Past-due amounts may be subject to suspension after notice.

06Confidentiality and PHI

When CliniLoom processes PHI on behalf of a clinic, the parties' rights and obligations regarding PHI are governed by a Business Associate Agreement, which takes precedence over these Terms in the event of a conflict.

07Disclaimer

CliniLoom is provided “as is.” To the fullest extent permitted by law, we disclaim all implied warranties. CliniLoom's outputs are drafts intended for human review; you are responsible for the decisions made using them.

08Limitation of liability

To the maximum extent permitted by law, CliniLoom's aggregate liability arising from or relating to the service is limited to the fees you paid in the 12 months preceding the event giving rise to liability.

09Termination

Either party may terminate for material breach not cured within 30 days. On termination, customer data is exported and deleted per the timeframes described in the Data Processing page.

10Changes

We may update these Terms from time to time. Material changes will be announced in the application or via email to the billing contact.
